General Terms and Conditions of Sale and Delivery of Team by Wellis AG
1.Scope of application
1.1
These General Terms and Conditions of Sale and Delivery (hereinafter „GTCSD“) shall apply to all sales, deliveries and other services of Team by Wellis AG (hereinafter uniformly referred to as „Deliveries“), in particular for orders placed via the online shop, by e-mail or by other electronic means. By accepting a delivery without objection, the customer agrees to the application of these GTSD. They shall also apply to all future business relationships.
1.2
Deviating or supplementary terms and conditions of the customer shall not apply unless Team by Wellis AG has expressly confirmed their validity in writing. This shall also apply if a delivery is carried out without reservation in the knowledge of deviating customer conditions.
2. offers, product information, advice and conclusion of contract
2.1
All product descriptions and information (e.g. dimensions, weights, prices, technical data, illustrations or photos) in catalogues, on the website, in the online shop, in price lists or quotations are non-binding. Team by Wellis AG reserves the right to make changes to descriptions, technical data and prices at any time. Errors, printing or presentation errors are expressly reserved. Customary deviations, design changes, technical developments or adjustments due to legal requirements are also permitted, provided that the usability of the goods is not significantly impaired.
2.2
Any consulting or support services are provided to the best of our knowledge. Responsibility for checking the suitability, completeness and correct use of the products supplied lies exclusively with the customer.
2.3
By submitting an order in the online shop or by placing an order by e-mail, letter, fax or telephone, the customer makes a binding offer to conclude a contract. An automatic order confirmation does not constitute acceptance. The purchase contract is only concluded by a written order confirmation or by the actual delivery of the goods.
2.4
Order confirmations must be checked by the customer without delay, in particular with regard to colours, designs and dimensions. Any deviations must be reported in writing within 24 hours of receipt. After expiry of this period, the order confirmation shall be deemed to have been approved.
2.5
Subsequent changes to the order can only be taken into account if the production or processing status permits this. Any resulting additional costs or delays in delivery shall be borne by the customer.
2.6
Cancellation of the contract is generally excluded. In exceptional cases, a cancellation may be agreed; in this case, a processing fee of at least 10 % of the value of the goods will be charged.
3. prices and value added tax
3.1
Products with a stated price of CHF 0.00 are deemed to be „price on request“.
3.2
All prices quoted are inclusive of VAT. This is shown separately on the invoice.
3.3
Delivery, dispatch and assembly costs are not included in the product price and are shown separately or agreed individually.
4. delivery and assembly
4.1 Delivery types
a) Postal dispatch
Dispatchable products shall be sent by post or by an alternative delivery service at the customer's expense. The risk is transferred to the customer upon handover to the shipping service provider.
b) Delivery with or without assembly
Delivery is carried out by a forwarding agent commissioned by us. Any agreed assembly will be charged separately. Any additional aids required (e.g. cranes, lifts) will be invoiced separately. No liability is accepted for damage to cables or structural conditions in connection with wall installations. The transfer of risk takes place when the goods are handed over to the carrier.
4.2
Delivery times are given to the best of our judgement, but are not binding. Delays of up to two months shall not entitle the customer to cancel the contract or to claim compensation or reimbursement. The same applies to delays caused by the customer. Liability for consequential damages due to delayed delivery is excluded.
5. terms of payment
5.1
The terms of payment are determined for each order and communicated to the customer with the order confirmation or invoice. Payments are made by bank transfer.
5.2
Processing and production will only begin after receipt of payment or written confirmation of the order confirmation. Delays due to late payment shall be borne by the customer.
6. reservation of title
6.1
The goods shall remain the property of Team by Wellis AG until all claims have been paid in full.
6.2
Team by Wellis AG is authorised to have a reservation of title entered in the corresponding register at the customer's expense.
7 Notification of defects and warranty
7.1
The customer is obliged to inspect the goods immediately. Defects must be reported in writing by e-mail within 5 calendar days of receipt at the latest, stating the invoice number and providing photographic documentation. Hidden defects must be reported immediately upon discovery.
7.2
Transport damage must be reported directly to the carrier upon acceptance of the goods and noted on the delivery note. In addition, Team by Wellis AG must be informed in writing.
7.3
In the event of justified defects, we shall, at our discretion, repair or replace the goods. Only if these measures fail can the customer withdraw from the contract or demand a price reduction.
7.4
No liability is accepted for damage resulting from improper use, storage, assembly or modification of the goods.
7.5
Further claims, in particular for indirect damages or loss of profit, are excluded to the extent permitted by law. Liability is limited to the order value.
7.6
The warranty shall lapse in the event of further processing or modification of the goods by the customer or third parties.
8. right of cancellation
8.1
End customers in Switzerland and the EU can cancel the contract within 14 calendar days without giving reasons.
8.2
There is no statutory right of cancellation for orders outside the EU. Returns as a gesture of goodwill will only be accepted after written agreement and for a processing fee of at least 10 %.
8.3
The right of cancellation does not apply to retailers or to custom-made products, personalised products or vouchers.
8.4-8.6
Cancellations must be notified in writing. Returns are made at the customer's expense within 14 days. Refunds will be made after inspection of the goods less delivery costs and any reductions in value.
9. amendments to the AVLB
Team by Wellis AG reserves the right to amend these GTCSD at any time. Amendments shall be deemed accepted unless objected to in writing within two weeks.
10. property rights and copyrights
All documents, texts, images and drawings remain the intellectual property of Team by Wellis AG and may not be reproduced or passed on without written authorisation.
11 Jurisdiction and law
11.1
The exclusive place of jurisdiction is Zurich, Switzerland.
11.2
Swiss substantive law shall apply exclusively to the exclusion of the CISG.
